Effective date: 29 October 2026

These Terms & Conditions are issued by Artisan Productions Ltd, company registration number 11599738, whose registered office is at 3rd Floor, 86–90 Paul Street, London, EC2A 4NE.

1. ABOUT ARTISAN GROUP

1.1. Artisan Group is the collective trading identity of Artisan Productions Ltd, incorporating LEXA, Hatton Rock, Union & Co and The Gear House, together with services historically supplied under the Artisan Productions name.

1.2. Artisan Productions Ltd is the legal contracting entity for these brands unless expressly agreed otherwise in writing.

1.3. These terms apply to quotations, bookings, event production, technical services, equipment hire and other services contracted under the Artisan Productions or Artisan Group names.

1.4. Brand-specific terms supplied at the time of booking shall take precedence in relation to the relevant services where they differ from these general terms. Expressly agreed terms contained in an accepted quotation or signed contract shall take precedence over conflicting standard terms.

1.5. Contracts entered into before these terms took effect remain subject to their previously agreed terms unless the parties validly agree otherwise.

1.6. Nothing in these terms excludes or restricts any legal rights that cannot lawfully be excluded.

2. QUOTATIONS AND CONTRACT FORMATION

2.1. Quotations are based on the Client’s information, specifications, event dates, venues, requirements and intended scope of services.

2.2. All quotations are subject to availability and may be withdrawn before acceptance.

2.3. A contract is formed when the Client accepts a quotation or booking proposal and the Company confirms acceptance in writing.

2.4. Acceptance may be provided by signed quotation, email, electronic approval or another expressly agreed method.

2.5. The Client confirms that the person accepting the quotation has authority to enter into the agreement.

2.6. Changes to the agreed scope, schedule, venue, technical requirements or other material information may result in revised charges.

3. PRICING AND PAYMENT

3.1. All prices exclude VAT unless expressly stated otherwise.

3.2. For event production bookings with a total contract value of £25,000 or less excluding VAT, a deposit of 25% of the total agreed fee is payable upon booking confirmation.

3.3. For event production bookings exceeding £25,000 excluding VAT, a deposit of 50% of the total agreed fee is payable upon booking confirmation. This replaces, rather than supplements, the standard 25% deposit.

3.4. The remaining balance is payable no later than seven calendar days before the first scheduled production date, including installation or preparation days where applicable.

3.5. Alternative payment arrangements may be agreed in writing for approved corporate clients, venues, agencies, production partners or established account customers.

3.6. Equipment-only dry hire bookings are subject to the payment provisions contained in the applicable dry hire agreement, normally requiring payment in full before release unless approved credit terms apply.

3.7. The Company may claim applicable statutory late-payment interest, compensation and reasonable recovery costs for qualifying overdue business debts.

3.8. Where a material payment obligation remains unsatisfied, the Company may, following appropriate notice, suspend services or withhold release of equipment where contractually and legally permitted.

4. CANCELLATION

4.1. Cancellations must be submitted in writing.

4.2. The Company’s standard event production cancellation schedule is:

  • More than 365 days before the first scheduled production date: no percentage-based cancellation charge, although reasonably incurred non-recoverable costs may be payable.

  • 365 to 181 days: up to 40% of the agreed fee.

  • 180 to 91 days: up to 60%.

  • 90 to 31 days: up to 80%.

  • 30 days or fewer: up to 100%.

4.3. These percentages are not automatic penalties. Any charge shall reflect the Company’s legitimate loss, including properly committed expenditure and recoverable loss of profit, taking account of saved costs, recoveries and reasonable mitigation.

4.4. Deposits and other advance payments shall be credited against amounts lawfully due. Any excess shall be refunded.

4.5. Bespoke goods, work already completed and unavoidable third-party commitments may be considered when determining a reasonable cancellation amount without double recovery.

4.6. Dry hire cancellations are governed by the applicable hire agreement.

4.7. Mandatory consumer cancellation, refund and other statutory rights take precedence where applicable.

5. POSTPONEMENT AND ALTERATIONS

5.1. Requests to postpone or materially alter an event must be made in writing.

5.2. The Company shall make reasonable efforts to accommodate changes, subject to equipment, crew, transport and supplier availability.

5.3. Additional costs arising from amended dates, venues, schedules, specifications or supplier commitments may be chargeable where reasonably incurred and contractually recoverable.

5.4. Where a revised booking cannot be agreed, the cancellation provisions may apply, subject to applicable law.

6. CLIENT RESPONSIBILITIES

6.1. The Client shall provide accurate and timely information concerning the event, venue, facilities, access requirements, schedules and technical specifications.

6.2. Unless expressly included in the agreed scope, the Client is responsible for providing necessary venue permissions, event licences, safe access, suitable electrical supplies, loading facilities and other required infrastructure.

6.3. The Client shall disclose relevant restrictions concerning working hours, noise, rigging, venue access, structural limitations and health and safety.

6.4. The Client shall make appropriate arrangements for parking, loading and crew welfare as specified in the quotation or production requirements.

6.5. Additional costs arising from materially inaccurate information, unavailable access or changes requested by the Client may be recoverable where reasonable and lawful.

7. EQUIPMENT

7.1. All hired or supplied equipment remains the property of Artisan Productions Ltd or its suppliers unless expressly sold.

7.2. Equipment shall not be moved, modified, dismantled or operated by unauthorised persons.

7.3. The Company may supply technically equivalent or superior alternative equipment where necessary, provided that the agreed functionality and material specification are maintained.

7.4. The Client may be responsible for loss or damage resulting from its negligence, misuse, breach of contract or the actions of persons for whom it is legally responsible.

7.5. Normal wear and tear and damage attributable to the Company’s own negligence or breach are excluded from Client responsibility.

7.6. Additional equipment custody, insurance, security and return obligations apply to dry hire arrangements.

8. PRODUCTION SCHEDULES AND CREW

8.1. Quotations are based on agreed installation, rehearsal, operation, event and dismantling schedules.

8.2. Changes to those schedules may incur additional crew, transport, accommodation or equipment costs.

8.3. The Client shall provide reasonable working facilities, drinking water, welfare access and any meals agreed in the production requirements.

8.4. All activities remain subject to applicable working time and safety requirements.

9. HEALTH AND SAFETY

9.1. The Company shall undertake its activities with reasonable care and in accordance with applicable health and safety obligations.

9.2. The Client and venue remain responsible for their respective statutory obligations.

9.3. The Company may suspend or modify work where conditions create an unacceptable risk to persons, property or equipment.

9.4. Required risk assessments, method statements and technical information shall be provided as appropriate to the agreed scope.

10. SUBCONTRACTORS AND THIRD PARTIES

10.1. The Company may appoint suitably qualified freelancers, contractors and specialist suppliers to deliver contracted services.

10.2. The Company remains responsible for services it has contractually undertaken to supply, subject to applicable law.

10.3. Suppliers appointed separately and directly by the Client remain responsible under their own contractual arrangements.

11. CIRCUMSTANCES BEYOND REASONABLE CONTROL

11.1. Neither party shall be liable for failure or delay caused by circumstances genuinely beyond its reasonable control, except where the law provides otherwise.

11.2. Such circumstances may include severe weather, major infrastructure failures, government restrictions, widespread transport disruption or extraordinary emergencies.

11.3. The affected party shall give prompt notice and take reasonable steps to reduce disruption and loss.

11.4. The parties shall consider reasonable alternatives, including amended schedules, reduced services or postponement.

11.5. Where performance cannot continue, payments, refunds, completed services and properly recoverable costs shall be determined in accordance with applicable law. Payments are not automatically non-refundable.

12. LIABILITY AND INSURANCE

12.1. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or other liabilities that cannot lawfully be excluded.

12.2. Each party remains responsible for loss arising from its breach, negligence or other legally attributable conduct.

12.3. Any contractual limitation of liability in a business-to-business contract shall operate only to the extent permitted by applicable law.

12.4. Clients are responsible for arranging event cancellation, postponement or other event-specific insurance where appropriate and not expressly included within the Company’s contracted services.

13. INTELLECTUAL PROPERTY

13.1. Production designs, drawings, documentation, specifications, visualisations and other original intellectual property developed by the Company remain its property unless otherwise agreed in writing.

13.2. The Client receives the expressly agreed rights to use deliverables, subject to payment of the relevant fees.

13.3. Third-party materials remain subject to their owners’ rights and licences.

14. PHOTOGRAPHY AND PUBLICITY

14.1. The Company may document production arrangements and completed installations for operational or promotional purposes where lawful.

14.2. Confidential events, commercially sensitive material, recognisable individuals and protected creative works shall be handled in accordance with relevant permissions, confidentiality obligations and applicable law.

14.3. The Client may request reasonable restrictions on promotional use.

15. DATA PROTECTION

15.1. Personal information shall be processed in accordance with applicable UK data protection law and relevant privacy notices.

15.2. Each party shall handle personal information shared for the project lawfully and securely.

16. COMPLAINTS AND DISPUTES

16.1. Concerns should be reported promptly to allow investigation and, where possible, corrective action.

16.2. Written complaints should ideally be submitted within 30 days of the event or hire, without limiting legal rights or remedies.

16.3. The parties shall attempt to resolve disputes in good faith.

17. GOVERNING LAW

17.1. These terms are governed by the laws of England and Wales.
